In an article, authors Trisha M. Rich, Joshua E. Porte, and Leonard Charles Brahin of Holland & Knight outline how MSO partnerships (Management Services Organization) are reshaping law firm strategy within the constraints of ABA Rule 5.4. 

The traditional model, in which lawyers own and manage all aspects of firm operations, faces pressure from client demands, technological complexity, and competition from alternative legal service providers. The MSO framework offers a compliant path forward by separating business and legal functions: nonlawyers own and manage the operational entity, while the law firm retains control over legal services and professional judgment.

According to the authors, MSOs allow law firms to attract outside capital, enhance operational efficiency, and integrate business expertise without violating ethical rules. The arrangement supports investment in technology, analytics, and AI tools, areas requiring specialized management and funding. Firms also gain flexibility to innovate through subscription models, consulting services, or shared back-office resources across multiple firms.

However, Rich, Porte, and Brahin caution that compliance remains critical. Law firms must maintain 100 percent ownership of the legal entity, ensure fee arrangements reflect fair market value, and preserve client confidentiality through robust data safeguards. The Texas Committee on Professional Ethics’ 2025 Opinion No. 706 underscores these guardrails.

For managing partners, MSO partnerships are not mere outsourcing, but strategic alliances that can modernize firm operations, attract investment, and position firms to adapt as regulatory reform accelerates. The future of practice may hinge less on how lawyers work and more on whom they choose to partner with.
